These Platform Terms of Use ("Terms") are an agreement between you and PsyFlo Corp. ("Psyflo," "we," "us," or "our") and govern your access to and use of the Psyflo platform available at app.psyflo.com and related platform services.
By creating an account, clicking "I agree," or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.
These Terms apply to patients, clinicians, providers, practice owners, practice managers, billing users, administrative users, and any other authorized user of the Services.
Psyflo provides a Remote Therapeutic Monitoring, or RTM, technology platform that Providers use to support outpatient behavioral health care.
Psyflo is a technology platform. Psyflo is not a healthcare provider, does not practice medicine, psychology, therapy, counseling, or any other licensed healthcare profession, and does not provide medical or mental health care, diagnosis, treatment, or clinical advice.
Your Provider is responsible for your care. "Provider" means the licensed clinician, practice, clinic, healthcare organization, or other authorized care entity that enrolls patients in Psyflo or uses the Services.
Nothing in these Terms creates a provider-patient, therapist-patient, clinician-patient, or other clinical relationship between you and Psyflo.
If Psyflo and a Provider enter into a separate memorandum of understanding, pilot agreement, order form, services agreement, business associate agreement, or other written agreement, that agreement controls if it conflicts with these Terms for that Provider or its authorized users.
For protected health information, or PHI, the applicable Business Associate Agreement controls.
For Provider and practice users, access to the Services may also be governed by the Provider's separate agreement with Psyflo. These Terms do not replace the Provider's separate commercial, privacy, security, or HIPAA obligations.
The Services are intended only for users who are at least 18 years old and located in the United States.
Providers and practices may not enroll patients under 18 in Psyflo.
Provider and practice users may use the Services only if they are authorized by the Provider or practice and are acting within the scope of their role.
If you create an account or use the Services on behalf of a Provider, practice, clinic, or organization, you represent that you have authority to bind that organization.
The Services help Providers collect, review, document, and use patient-reported information for RTM workflows.
The Services may support features such as:
The Services are administrative and technological in nature. Psyflo does not make clinical decisions, determine patient eligibility for treatment, determine whether RTM billing is appropriate, submit claims, or guarantee reimbursement.
Some Services or features may be offered as pilot, beta, early-access, or trial features.
These features may be incomplete, may change before general release, and may be modified, suspended, or discontinued at any time.
Psyflo does not guarantee that any pilot, beta, or early-access feature will become generally available.
The Services do not provide medical, mental health, clinical, diagnostic, therapeutic, billing, coding, reimbursement, legal, or professional advice.
The Services are not a substitute for the professional judgment of your Provider or any other qualified healthcare professional.
Patients should contact their Provider with questions about diagnosis, treatment, symptoms, medications, therapy, care plans, or medical records.
Providers remain solely responsible for all clinical decisions, patient communications, treatment plans, documentation review, billing decisions, coding decisions, claims, and reimbursement decisions.
Psyflo is not an emergency or crisis service.
The Services, alerts, dashboards, and email notifications are not monitored in real time. Psyflo staff do not provide emergency support, crisis response, or real-time clinical monitoring.
Do not use the Services to request emergency help or communicate urgent medical or mental health needs.
If you are experiencing a mental health crisis, are thinking about harming yourself or someone else, or believe you may be in danger, call or text 988, call 911, or go to the nearest emergency room.
The Services may generate limited rule-based alerts based on fixed criteria configured in the platform.
For example, if a patient submits a nonzero response to a self-harm-related item in an assigned assessment, the Services may:
These alerts are limited, rule-based, not continuous, not real-time, not guaranteed, and not a substitute for 988, 911, emergency care, crisis services, or direct Provider follow-up.
Provider alert emails are intended to be generic. They should not include patient names, assessment names, PHQ-9 references, self-harm references, symptoms, scores, risk details, diagnosis information, treatment details, therapy references, or other clinical information.
The current Services do not use artificial intelligence to analyze user information or generate clinical content.
Psyflo does not currently use artificial intelligence to:
Psyflo does not use identifiable health information to develop or train artificial intelligence or machine-learning models.
Psyflo may introduce additional features in the future only after updating applicable disclosures, agreements, notices, and product terms as appropriate.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to:
Provider and practice users must use unique accounts. Shared accounts are not permitted.
Psyflo may require multi-factor authentication or other security controls for accounts with access to PHI, administrative functions, or other sensitive information.
Psyflo may send generic service, account, security, platform, assignment, and notification emails related to the Services.
Required service, account, security, and platform emails may be necessary to provide the Services and may not be available for opt-out while you use Psyflo.
Optional assignment-related or reminder notification emails may be managed through available in-app settings.
Provider risk-alert emails are mandatory and generic.
Psyflo email notifications should not include PHI, patient names, assessment names, symptoms, scores, mental-health language, self-harm or risk details, diagnosis information, treatment details, therapy references, RTM references, or other clinical content.
By using the Services, you consent to receive communications electronically.
You agree not to:
If you are a patient user, you have access to the Services because your Provider enrolled you.
You agree to provide accurate information through the Services. Your Provider may rely on information you submit when providing care.
The Services are a tool to support care directed by your Provider. They do not replace visits, treatment, professional judgment, emergency services, or direct communication with your Provider.
You may stop using the Services at any time, but you should contact your Provider with questions about your care, treatment plan, medical record, or continued enrollment.
Provider and practice users include clinicians, practice owners, practice managers, billing users, administrative users, and other authorized users acting on behalf of a Provider or practice.
Provider and practice users are responsible for:
Psyflo does not provide clinical, billing, coding, reimbursement, legal, or regulatory advice.
Billing users generally may access only RTM billing-relevant engagement and monitoring information unless they are otherwise assigned to a patient or authorized by the Provider or practice to access additional information.
Psyflo processes PHI as a business associate of the Provider under the applicable BAA and in accordance with HIPAA.
Your use of the Services is subject to Psyflo's Platform Privacy Policy, which is incorporated into these Terms by reference.
Your Provider's Notice of Privacy Practices is separate and explains your Provider's privacy practices and patient-rights process.
Patients should generally direct requests to access, amend, restrict, or receive an accounting of health information to their Provider. Psyflo will support the Provider in responding as required by the applicable BAA and law.
Psyflo does not sell PHI or use PHI for advertising.
The Services may allow users to submit information such as check-in responses, assessment answers, free-text entries, reflections, reports, assignment responses, and similar information submitted through the Services.
As between you and Psyflo, you retain your rights in content you submit.
You grant Psyflo a limited license to host, store, process, transmit, display, and use your content solely as needed to:
Psyflo does not sell user content or use user content for advertising.
Provider clinical records and PHI are governed by the Provider relationship, HIPAA, the applicable BAA, and the Platform Privacy Policy.
You are responsible for the accuracy of information you submit.
Psyflo and its licensors own all rights, title, and interest in and to the Services, including software, designs, interfaces, workflows, text, graphics, logos, trademarks, documentation, and other materials.
Subject to these Terms, Psyflo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.
You may not copy, modify, distribute, sell, sublicense, or create derivative works from the Services except as expressly permitted by Psyflo in writing or by applicable law.
If you provide feedback, suggestions, or ideas about the Services, you grant Psyflo a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.
The Services may rely on third-party vendors and service providers, including hosting, infrastructure, security, support, and email service providers.
Vendors that create, receive, maintain, or transmit PHI for Psyflo must sign a Business Associate Agreement or other HIPAA-required agreement.
Psyflo may also use email providers to send generic, non-PHI notifications.
Your use of third-party services may be subject to those third parties' own terms and policies. Psyflo is not responsible for third-party services that it does not control.
Provider fees are governed by the applicable Provider agreement.
Psyflo does not currently charge Patient Users for access to the Services.
Psyflo does not currently collect payment card information from Patient Users through the Services.
These Terms apply while you use the Services.
Psyflo may suspend or terminate your access to the Services if:
Patients may stop using the Services at any time.
Provider and practice user access may also be suspended or terminated according to the applicable Provider agreement.
When access ends, information is handled as described in the Platform Privacy Policy, the applicable BAA, and applicable Provider agreements.
Psyflo may modify, suspend, discontinue, or update the Services from time to time.
Psyflo may also update these Terms. When we do, we will revise the Last Updated date above.
For material changes, Psyflo will provide notice by email. Your continued use of the Services after updated Terms take effect means you accept the updated Terms.
If you do not agree to updated Terms, you must stop using the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE FULLEST EXTENT PERMITTED BY LAW, PSYFLO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
PSYFLO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME.
PSYFLO DOES NOT WARRANT THAT THE SERVICES WILL PRODUCE ANY PARTICULAR CLINICAL, OPERATIONAL, BILLING, CODING, REIMBURSEMENT, OR FINANCIAL OUTCOME.
THE SERVICES DO NOT REPLACE PROFESSIONAL CLINICAL JUDGMENT, EMERGENCY SERVICES, OR PROVIDER RESPONSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, PSYFLO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES.
FOR PATIENT USERS, PSYFLO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT THE PATIENT USER PAID DIRECTLY TO PSYFLO FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM.
FOR PROVIDER AND PRACTICE USERS, LIABILITY IS GOVERNED BY THE APPLICABLE PROVIDER AGREEMENT, ORDER FORM, PILOT AGREEMENT, MOU, BAA, OR OTHER WRITTEN AGREEMENT BETWEEN PSYFLO AND THE PROVIDER.
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
If you are a Patient User, you agree to indemnify and hold harmless Psyflo and its officers, directors, employees, contractors, agents, affiliates, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of your misuse of the Services, violation of these Terms, unlawful conduct, or violation of another person's rights.
For Provider and practice users, indemnification is governed by the applicable Provider agreement, order form, pilot agreement, MOU, BAA, or other written agreement between Psyflo and the Provider.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Except where a separate Provider agreement requires otherwise, any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in New York County, New York. You and Psyflo consent to the personal jurisdiction and venue of those courts.
These Terms do not include arbitration, a class-action waiver, a jury-trial waiver, or a one-year claim limitation.
Entire Agreement. These Terms, together with the Platform Privacy Policy and, for Providers and practice users, any applicable Provider agreement and BAA, form the agreement governing your use of the Services.
Assignment. You may not assign these Terms without Psyflo's prior written consent. Psyflo may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
No Waiver. Psyflo's failure to enforce a provision is not a waiver of its right to do so later.
Force Majeure. Psyflo is not responsible for delays or failures caused by events beyond its reasonable control.
Electronic Communications. You agree that notices, agreements, disclosures, and other communications may be provided electronically.
Survival. Sections that by their nature should survive termination will survive, including sections relating to intellectual property, privacy, disclaimers, limitations of liability, indemnification, governing law, and general terms.
